Miller resigns from the board

A member of the board of directors, William J. Miller of Glu Mobile Inc. announced that he is resigning from board membership with immediate effect. This announcement was made on March 8, 2017. Mr. Miller’s decision to resign was not related to any disagreement with the company’s operations, practices or polices. Mr. Miller joined Glu’s board in January 2017. From December 2009 to January 2007 he served in the company in the capacity of an interim Chief Executive Officer. He then took over as the chairman of the Board as from July 2009 to July 2014. The Board and the Management of the company appreciated Mr. Miller for his great contribution to the company during his more than a decade service at Glu.

Resignation of Xiaoyi Ma

On January 23, 2017 Xiaoyi Ma who was a member of the board of director in Glu announced his intention to resign from the board. Ma joined the company in April 2015 and he was given the role of the representative of Tencent Holding Limited in the Board. His resignation was effective upon appointment of his replacement Ben Feder. His resignation was not related to any disagreement with the company about its policies, practices or operations.

Appointment of Ben Feder

Ben Feder was appointed by the Board on January 26, 2017 as the president of Tencent in the category of Class I Director. He came from Take-Two Interactive Software, Inc. where he served as the Chief Executive Officer. He is not expected to serve in any of the Board committees at the moment.

Mr. Feder was appointed by one of the company’s more than 10% shareholders. He will therefore not be compensated for services on the board or any other committee of the board he is going to serve. Mr. Feder is not involved in any transactions or relationships with the company that requires to be disclosed in relation to item 404(a) of the S-K Regulations.
